TERMS, CONDITIONS & RULES TO PARTIPATE IN AUCTIONS

English translation

The following definitions will apply:
Panabid: Panama Auction Valuation & Services trading as Panabid.
The buyer: The person/entity purchasing or with the intent to purchase assets.
The seller: The person/entity with the lawful ownership of assets and entitled to sell assets.
Reserve price: A hidden minimum price the owner (the seller) of the assets would like to attain for the assets.
Subject to confirmation: The owner (the seller) has to accept or reject the offered bid after the auction, irrelevant of the reserve price being met and/or exceeded.
Bid/offer: The monetary amount the bidder (the buyer) is willing to pay for assets.
Lot: Either an individual asset or a group of assets that are offered for sale at the auction.
Deposit: An amount of money that has to be paid before the bidder (the buyer) can participate in the auction.
Catalogue: Inventory list of assets being sold at the auction.
Registration form: A form that has to be completed before participating in the auction.
Notice to bidders: A document on Panabid’s website explaining all aspects of the specific auction such as deposit amounts, collection times, banking details, etc.
Required documents: A document on Panabid’s website explaining what documents are needed of the bidder (the buyer) to participate in the auction.
Release note: A note that will be issued to the successful bidder (the buyer) once full payment for assets purchased has been made giving the bidder (the buyer) permission to remove/receive assets from the premises.

Registration and due diligence
The buyer must: 

  • Provide Panabid with a completed Registration form and all documents stipulated in the Required documents. 
  • Pay the deposit specified on the website and/or in the Notice to bidders.


If the buyer does not provide all documents required or/and pay the requested deposit, it will not be given the opportunity to participate in the auction.
In the event where another person/entity bids on behalf of the buyer, the buyer must supply a signed letter of authority authorising the person/entity to bid on the buyer’s behalf. 

General terms, conditions and rules of auction
All auctions will be conducted and regulated by Panabid.
The auction will commence at the time published and will not be delayed for any person/entity.
Panabid holds the right to withdraw any assets from auction, at any time, without notice and without penalty or explanation thereof.
All assets are sold in accordance to the current, relevant and applicable laws in the country where the assets are being sold.  
All assets will be sold as individual lots, unless otherwise listed as a group of assets being sold as an individual lot. The seller and/or Panabid have the right to accept and reject any bids.
Some assets are subject to a reserve price.
Panabid (or affiliated employees) shall be entitled to bid up to the reserve price on behalf of the seller but shall not be entitled to make a bid equal to or exceeding the reserve price.
For purposes of the auction all assets will be sold subject to confirmation, if any assets are subject to confirmation, the confirmation period will be specified in the notice to bidders, unless otherwise stated by Panabid or advertised, during which period the buyer will not be permitted to withdraw, change or cancel its bid.
Any bids placed on any assets cannot be changed, reversed or canceled.
The buyer with the highest bid for the assets being sold will be grated the purchase of the assets.
By placing any bids on any assets during live or online auctions, the buyer validates that it has the legal capacity/authority to purchase any assets and can finance all assets purchased in the full amount offered with any other expenses that may be applicable.
In the event of a dispute where the highest bidder cannot be identified; Panabid has the right to declare the successful buyer, re-auction the lot concerned or/and remove the assets from the auction.
In the event that the buyer participates online in the auction, whether through any mobile application, the internet or through webcast broadcasting; Panabid will not be held liable for slow internet connection resulting the buyer being disconnected to the auction be it the buyer’s internet connection interruption or/and Panabid’s.
Panabid accepts no responsibility for the loss of a potential purchase, should a bid not be recorded as of the result of the buyer being disconnected or/and the online bidding platform going offline during the auction.
In the event of conflicting bids, the floor/live bid will be favored over the online bid, however ultimately it is Panabid’s right of decision which bid will take preference.
If the buyer breaches any conditions, terms and/or rules of this contract, the buyer will be held liable to pay any expenses occurred by Panabid as a result of the breach.
Neither the seller nor Panabid will be liable for any loss relating to revenue, profits, contracts, business, savings, goodwill and/or reputation of the buyer.
In the event where the buyer’s bid is unsuccessful, the deposit paid to participate in the auction will be refunded within 2 to 7 business days of the closure date of the auction; the buyer must provide Panabid with its banking details for refunds.
If the buyer’s bid is successful, deposits will only be refunded once assets have been paid for and removed from the seller’s or Panabid’s premises. 

In the event when the buyer purchased assets but cannot pay the purchase price in full, the following conditions will apply: 

  • The deposit paid to participate in the auction will not be reimbursed to the buyer, the deposit will be forfeited and Panabid has the right to re-auction the asset. 
  • The buyer will be held liable for any monetary loss or/and damages of the assets, such as shortfall on resale of assets from the original purchase price and storage, the buyer will not be entitled to any profit of the resale of any assets.
  • The buyer will forfeit its opportunity to participate in future auctions.

Conditions of assets
All assets are sold in the present condition, as they are and where they are with no guarantees/warranties given, implied or expressed.
The buyer accepts that any intellectual property rights related/affiliated to the assets sold is not the intellectual property rights of the Seller and is incapable of being transferred, the buyer’s use of any intellectual property rights or exploitation thereof is solely at the buyer’s own risk and is not authorized by the seller or Panabid.
Any descriptions and visual/auditory representations on Panabid’s website is solely for the buyer’s convenience. Panabid undertakes its best efforts to ensure that all information (descriptions and/or visual/auditory representations) on all assets are as accurate as possible, the buyer relies on all information (descriptions and/or visual/auditory representations) given at its own risk.
The descriptions and visual/auditory representations on Panabid’s website and catalogues are not intended to be a guarantee of authenticity of the assets on auction, Panabid therefore takes no responsibility for the genuineness of descriptions and visual/auditory representations.
It is recommended to inspect and view all assets before purchasing, viewing and inspections of assets may be done online or at the seller’s or Panabid’s premises during the time periods stipulated in the Notice to bidders.
The buyer should be satisfied and pleased with any asset’s condition, descriptions and/or visual/auditory representations before proceeding with a purchase, all purchases are at own risk.
Neither Panabid (or affiliated employees) nor the seller will be held responsible for any errors of conditions and/or descriptions and/or visual/auditory representations of any assets being sold. 

Payment terms
All bids exclude the buyer’s premium, any current, relevant and applicable sales tax or value added tax within the country where the sale of the asset takes place and any other expense occurred.
The buyer’s premium is non-negotiable, and the buyer will be charged with a “buyer’s premium” which all buyers are subject to pay.
Panabid may also receive commission from the seller for acting as an agent between sellers and buyers.
The buyer must pay all invoices for purchased assets within the period specified in the Notice to Bidders, once full payments of assets have been made a Release note for removal of assets will be issued.
Due to financial regulations, only wired/electronic transfers will be accepted as a means of payment, only within the Republic of Panama will bank certified cheques be accepted as a means of payment as well.
Payment instructions for assets will be specified within the Notice to bidders, invoice or on the website of Panabid. The buyer will be responsible for any charges occurred due to transfer and/or conversion of money. Exporting/Importing assets will be done at/on the buyer’s own expense and risk.
Payment for assets must be made immediately after invoices have been issued and within a maximum of 2 days from the closure date of the auction or invoiced date.
Proof of payment must be supplied to Panabid, and removal of assets will only be granted once the money is reflected in the bank account of Panabid.
All invoices will be issued by email in an electronic format.

Removal and relocation of assets
It is the buyer’s responsibility to remove assets from the seller’s or Panabid’s premises and pay all/any expenses occurred thereof.
The buyer will remove assets from the seller’s or Panabid’s premises at its own risk.
All assets must be removed from the seller’s or Panabid’s premises within the period specified in the Notice to bidders or otherwise privately arranged with the seller or Panabid.
The buyer cannot remove any assets without presenting the Release note it was issued and if all payments and/or expenses for assets have not been paid in full and reflected in the bank account of Panabid.
Procedures to remove assets, such as what documents are required, time periods of removals, etc, will be stipulated in the Notice to bidders.
Panabid will not be held responsible for any damages occurred to assets after the assets have been declared sold and/or during the removal of assets.
It is the buyer’s responsibly to comply with any current, relevant and applicable health, safety, environmental and procedural requirements within the country where the assets are being removed and relocated to.
The buyer will be liable to pay storage fees to the seller or Panabid if an asset is not removed within the specified period specified in the Notice to bidders, unless otherwise arranged.
Assets not removed within the prescribed or otherwise arranged period will be forfeited and re-auctioned.
The buyer acknowledges that neither Panabid nor the seller are obligated to give any support or assistance with removal of the assets.
The buyer acknowledges that it understands that some assets for sale may contain hazardous substances and/or dangerous chemicals, which if not handled correctly during removal from the seller’s or Panabid’s premises could potentially be in breach with the health, safety and environmental legislation in the country where the assets are being removed and relocated to.
Panabid will not be held responsible for any legal situation arising of incorrect asset removal, or to remove any hazardous substances within and/or part of any asset.
The buyer accepts to remove, ship and use any asset purchased in accordance to any current, relevant and applicable legislation/jurisdiction within the country where the assets have been purchased, relocated to and will be operating in.
The buyer also accepts to comply to all current, relevant and applicable legislation/jurisdictions in relation to removal and/or disposal of waste (including hazardous waste).
The buyer agrees to comply to all current, relevant and applicable export/import legislation/jurisdiction within the country where the asset is being removed from and/or being relocated to.
The buyer acknowledges that Panabid is not an exporter/importer for any purchased assets.
No assets will be released for removal during the auction. 

Ownership and titles
The buyer accepts all risks relating to the assets being purchased.
All assets shall remain within the seller’s or Panabid’s title until full payment for the asset has been made and when the assets have been removed from the seller’s or Panabid’s premises.
The buyer accepts all responsibility to arrange any insurance of assets if deemed necessary within the country where the asset will be removed from, relocated to and be operational.
The buyer is responsible for all expenses relating to registrations and title transfers of assets. 

Acceptance of terms, condition and rules of auction
All parties accepting these terms, conditions and rules confirm that they have read and understood all the terms, conditions and rules contained throughout this contract, agree to adhere to terms, conditions and rules of auction and that this is a binding contract.


CONDICIONES Y REGLAS PARA PARTICIPAR EN LAS SUBASTAS

Se aplicarán las siguientes definiciones:
Panabid: Panamá Auction Valuation & Services S.A., nombre comercial, Panabid.
El comprador: La persona/entidad que compra o con la intención de comprar activos.
El vendedor: La persona/entidad con la propiedad legal de los activos y con derecho a vender activos.
Precio de reserva: Un precio mínimo oculto que el propietario (el vendedor) de los activos desea alcanzar para los activos.
Sujeto a confirmación: El propietario (el vendedor) tiene que aceptar o rechazar la oferta ofrecida después de la subasta, sin importar que el precio de reserva sea cumplido y/o excedido.
Oferta: El importe monetario que el pujador (el comprador) está dispuesto a pagar por los activos.
Lote: Ya sea un activo individual o un grupo de activos que se ofrecen a la venta en la subasta.
Depósito: Una cantidad de dinero que debe pagarse antes de que el pujador (el comprador) pueda participar en la subasta.
Catálogo: Lista de inventario de los activos que se venden en la subasta.

Formulario de
inscripción: Formulario que debe completarse antes de participar en la subasta.
Aviso a los licitadores: Un documento en el sitio web de Panabid explicando todos los aspectos de la subasta específica, como los importes de los depósitos, los tiempos de cobro, los datos bancarios, etc.
Documentos requeridos: Un documento en el sitio web de Panabid explicando qué documentos se necesitan del licitador (el comprador) para participar en la subasta.
Nota de liberación: Una nota que se emitirá al postor ganador (el comprador) una vez que se haya realizado el pago completo de los activos comprados dando al licitador (el comprador) permiso para tomar/recibir activos de las instalaciones.

Registro y diligencia debida
El comprador debe:

  • Proporcionar a Panabid con un formulario de registro totalmente completo y todos los documentos estipulados en los documentos requeridos.
  • Pago del depósito especificado en el sitio web y/o en el Aviso a los licitadores.


Si el comprador no proporciona todos los documentos requeridos y/o paga el depósito solicitado,
no se le dará la oportunidad de participar en la subasta. En el caso de que otra persona/entidad haga una oferta en nombre del comprador, el comprador debe proporcionar una carta de autorización firmada que autoriza a la persona o entidad a pujar en nombre del comprador.

Términos generales, condiciones y reglas de subasta
Todas las subastas serán realizadas y reguladas por Panabid. La subasta comenzará en el momento de la publicación y no se retrasará para ninguna persona o entidad.
Panabid se reserva el derecho de retirar cualquier activo de la subasta, en cualquier momento, sin previo aviso y sin penalización o explicación de los mismos.
Todos los activos se venden de acuerdo con las leyes actuales, pertinentes y aplicables en el país donde se venden los activos.  Todos los activos se venderán como lotes individuales, a menos que se indique lo contrario como un grupo de activos que se venden como un lote individual.
El vendedor y o Panabid tienen derecho a aceptar y rechazar cualquier oferta.
Algunos activos están sujetos a un precio de reserva. Panabid (o empleados afiliados) tendrán derecho a pujar hasta el precio de reserva en nombre del vendedor, pero no tendrán derecho a realizar una oferta igual o superior al precio de reserva.
A los efectos de la subasta, todos los activos se venderán sujetos a confirmación, si algún activo está sujeto a confirmación, el período de confirmación se especificará en el aviso a los licitadores, a menos que Panabid indique lo contrario o se anuncie, durante el cual el comprador no se le permitirá retirar, cambiar o cancelar su oferta.
Las pujas realizadas en cualquier activo no se pueden cambiar, revertirse ni cancelarse.
El comprador con la oferta más alta para los activos que se venden se le concederá la compra de los activos.
Al realizar cualquier oferta en cualquier activo durante subastas en vivo o en línea, el comprador valida que tiene la capacidad legal o la autoridad para comprar cualquier activo y puede financiar todos los activos comprados en el monto total ofrecido con cualquier otro gasto que puedan ser aplicables.
En caso de controversia en la que no se pueda identificar al mejor postor;
Panabid tiene derecho de declarar el comprador exitoso, o volver a subastar el lote en cuestión o eliminar los activos de la subasta. En el caso de que el comprador participe en línea en la subasta, ya sea a través de cualquier aplicación móvil, Internet o a través de la radiodifusión por internet, Panabid no se hace responsable
de la conexión a Internet lenta, lo que pudiera resulta en una desconexión del comprador con la subasta, o la interrupción de la conexión a Internet del comprador o de Panabid.
Panabid no acepta ninguna responsabilidad por la pérdida de una compra potencial, en caso de que no
se registre una oferta a partir del resultado de la desconexión del comprador con la plataforma de licitación en línea que se desconecte durante la Subasta.
En caso de pujas contradictorias, la oferta en vivo se verá favorecida por la oferta en línea, sin embargo, en última instancia, es el derecho de decisión de Panabid el que tendrá preferencia.
Si el comprador incumple alguna condición, términos o las reglas de este contrato, el comprador será responsable de pagar cualquier gasto ocurrido por Panabid como resultado del incumplimiento.
Ni el vendedor ni Panabid serán responsables de ninguna pérdida relacionada con los ingresos, beneficios, contratos, negocios, ahorros, buena voluntad o la reputación del comprador.
En caso de que la oferta del comprador no tenga éxito, el depósito pagado para participar en la subasta será reembolsado dentro de 2 a 7 días hábiles a partir de la fecha de cierre de la subasta; el comprador debe proporcionar a Panabid sus datos bancarios para los reembolsos.
Si la oferta del comprador es exitosa, los depósitos solo se reembolsarán una vez que los activos hayan sido pagados y retirados de las instalaciones del vendedor o de Panabid.
En el caso de que el comprador compró activos, pero no puede pagar el precio de compra en su totalidad, se aplicarán las siguientes condiciones:

  • El depósito pagado para participar en la subasta no será reembolsado al comprador, el depósito se perderá y Panabid tiene el derecho de volver a subastar el activo.
  • El comprador será responsable de cualquier pérdida monetaria y, o daños de los activos, tales como el déficit en la reventa de activos del precio de compra original y almacenamiento, el comprador no tendrá derecho a ningún beneficio de la reventa de cualquier activo.
  • El comprador perderá su oportunidad de participar en futuras subastas.

Condiciones de los activos
Todos los activos se venden en las condiciones actuales, tal y como están y donde no se encuentran sin garantías ni garantías dadas, implícitas o expresas. El comprador acepta que cualquier derecho de propiedad intelectual relacionado o afiliado a los activos vendidos no es el derecho de propiedad intelectual del Vendedor y es incapaz de ser transferido, el uso por parte del comprador de cualquier derecho de propiedad intelectual o explotación de los mismos es exclusivamente bajo el propio riesgo del comprador y no está autorizado por el vendedor o Panabid.
Cualquier descripción y representación visual/auditiva en el sitio web de Panabid es exclusivamente para la comodidad del comprador.
Panabid realiza sus mejores esfuerzos para garantizar que toda la información (descripciones y representacione
s visuales o auditivas) sobre todos los activos sea lo más precisa posible, el comprador confiara en toda la información (descripciones o representación visual/auditivas) dada bajo su propio riesgo.
Las descripciones y representaciones
visuales/auditivas en el sitio web y el catálogo de Panabid no pretenden ser una garantía de autenticidad de los activos en subasta, Panabid, por lo tanto, no asume ninguna responsabilidad por la autenticidad de las descripciones y las representaciones visuales/ auditivas.
Se recomienda inspeccionar y ver todos los activos antes de comprar, ver e inspecciones de los activos se pueden hacer en línea o en las instalaciones del vendedor o De Panabid durante los períodos de tiempo estipulados en el Aviso a los
licitadores.

Condiciones de pago
Todas las pujas excluyen la prima del comprador, cualquier impuesto de ventas o impuesto sobre el valor
añadido actual, relevante y aplicable dentro del país donde se lleva a cabo la venta del activo o si se produjo cualquier otro gasto.
La prima del comprador no es negociable, y se le cobrará una "prima del comprador" que todos los compradores están sujetos a pago.
Panabid también puede recibir comisión del vendedor por actuar como agente entre vendedores y compradores.
El comprador debe pagar todas las facturas de los activos comprados dentro del período especificado en el Aviso a los Licitantes, una vez que se hayan realizado los pagos completos de los activos se emitirá una nota de sustracción de activos.
Nota de visto bueno para la sustracción de activos. Debido a las regulaciones financieras, sólo se aceptarán transferencias por cable/electrónicas como medio de pago y solo dentro de la República de Panamá se aceptarán cheques certificados como medio de pago.
Las instrucciones de pago de los activos se especificarán en el
Aviso para licitantes, en el sitio web o en las facturas de Panabid.
El comprador será responsable de cualquier cargo ocurrido debido a la transferencia o conversión de dinero.
La exportación e importación de activos se realizará a su cargo y riesgo.
El pago de los activos debe realizarse inmediatamente después de que se hayan emitido las facturas y en un plazo máximo de 2 días a partir de la fecha de cierre de la subasta o fecha facturada.
El comprobante de pago debe ser suministrado a Panabid, y la sustracción de activos sólo se otorgará una vez que el dinero se refleje en la cuenta bancaria de Panabid.
Todas las facturas se emitirán por correo electrónico en formato electrónico.

Remoción y reubicación de Activos
Es responsabilidad del comprador retirar los activos de las instalaciones del vendedor o de Panabid y pagar todos y cualquier gasto que se haya producido de los mismos.
El comprador retirará los activos de las instalaciones del vendedor o de Panabid bajo su propio riesgo.
Todos los activos deben ser retirados de las instalaciones del vendedor o Panabid dentro del período especificado en el Aviso a los
licitantes o de otra manera arreglados ya sea en privado con el vendedor o Panabid.
El comprador no podrá retirar ningún activo sin presentar la nota de
liberación que se emitió solo si todos los pagos y gastos de los activos han pagados en su totalidad y reflejados en la cuenta bancaria de Panabid.
Procedimientos para el retiro de activos subastados, tales como los documentos necesarios, períodos de tiempo de descargos, etc., será estipulad en el Aviso a los licitantes.
Panabid no se hace responsable de los daños y perjuicios ocurridos a los activos después de que los activos hayan sido declarados vendidos o durante la retirada de activos.
Es responsable el comprador cumplir con los requisitos actuales
, relevantes y aplicables de salud, seguridad, medio ambiente y procedimiento dentro del país donde se están.
El comprador será responsable de pagar las cuotas de almacenamiento al vendedor o a Panabid si un activo no se retira dentro del período especificado en el Nota a los
licitantes, a menos que se disponga lo contrario.
Los activos no retirados dentro del período prescrito o pactado serán de otro modo confiscados
y re-subastados.
El comprador reconoce que ni Panabid ni el vendedor están obligados a dar ningún tipo de apoyo o asistencia para la remoción de los activos de los predios del vendedor o de Panabid.
El comprador reconoce que entiende que algunos activos para la venta pueden contener sustancias peligrosas o productos químicos peligrosos, que, si no se manipulan correctamente durante su retiro de las instalaciones del vendedor o de Panabid, podrían estar potencialmente en violación de la salud, seguridad y la legislación ambiental en el país donde 
se están retirando y reubicando los activos.
Panabid no se hace responsable de ninguna situación legal que surja de la remoción incorrecta de activos, ni de eliminar cualquier sustancia peligrosa dentro de cualquier activo.
El comprador acepta, enviar utilizar y o eliminar cualquier activo adquirido de acuerdo con cualquier
legislación o jurisdicción vigente, relevante y aplicable dentro del país donde el activo es comprado, reubicados y estarán operando en.
El comprador también acepta cumplir con todas las legislaciones/jurisdicciones vigentes,
pertinentes y aplicables en relación con la eliminación y/o eliminación de residuos (incluidos los residuos peligrosos). El comprador se compromete a cumplir con todas las
legislaciones/jurisdicciones de exportación/importación vigentes
y pertinentes y aplicables dentro del país en el que el activo se está retirando y o siendo reubicado. El comprador reconoce que Panabid no es un exportador/importador de ningún activo comprado. No se liberarán activos para su remoción durante la subasta.

Propiedad y títulos
El comprador acepta todos los riesgos relacionados con los activos que se compran. Todos los activos permanecerán dentro del título del vendedor o de Panabid hasta que se haya realizado el pago completo del activo y cuando el activo haya
sido retirado de las instalaciones del vendedor o de Panabid.
El comprador acepta toda la responsabilidad de organizar cualquier seguro de activos si se considera necesario dentro del país donde el activo será retirado, reubicado y estar operativo.
El comprador es responsable de todos los gastos relacionados con el registro y las transferencias de título de activos.

Aceptación de términos, condiciones y reglas de subasta por todas las partes
Acepten estos términos, condiciones y reglas confirman que han leído y entendido todos los términos, condiciones y reglas contenidas a lo largo de este contrato, se comprometen a cumplir términos, condiciones y reglas de subasta y que se trata de un contrato vinculante.
